Merchant Agreement

1. Overview

This Merchant Agreement ("Agreement") is entered into between PayLoro and the Merchant ("Merchant," "you," or "your") for the use of PayLoro's payment processing services.

2. Eligibility

To be eligible for PayLoro merchant services, you must:

  • Be a registered business entity in the Philippines
  • Have a valid business permit and BIR registration
  • Meet our underwriting and compliance requirements
  • Not engage in prohibited businesses as listed in our prohibited business list

3. Merchant Obligations

As a PayLoro merchant, you agree to:

  • Display accurate product/service information
  • Process transactions only for legitimate business purposes
  • Maintain adequate customer service
  • Report suspicious activities immediately
  • Comply with all applicable laws and regulations
  • Keep account credentials secure and confidential

4. Transaction Processing

PayLoro will process transactions submitted by you according to the following terms:

  • All transactions are subject to review and approval
  • We reserve the right to decline or hold suspicious transactions
  • Chargebacks will be handled according to card network rules
  • Transaction limits may apply based on risk assessment

5. Fees and Settlement

Merchant fees are calculated based on transaction volume and service type. Settlement occurs according to the schedule agreed upon during merchant onboarding. Standard processing fees apply per transaction.

6. Security Requirements

Merchants must:

  • Maintain PCI DSS compliance
  • Use secure payment forms and integrations
  • Protect cardholder data at all times
  • Report security incidents immediately

7. Prohibited Transactions

The following types of businesses and transactions are prohibited:

  • Adult entertainment and gambling (without proper licensing)
  • Counterfeit goods and piracy
  • Illegal services and goods
  • Financial services requiring special licensing
  • High-risk industries as determined by PayLoro

8. Chargebacks and Disputes

Chargebacks will be handled according to card network regulations. Merchants are responsible for providing required documentation within the specified timeframe. Excessive chargebacks may result in account suspension.

9. Term and Termination

This Agreement remains in effect until terminated by either party. We may terminate immediately for breach of agreement, suspicious activity, or regulatory requirements.
