I. These General Terms of Use are agreed upon by the company incorporated under the laws of the Philippines, known as eMandarin Ventures Inc. (PayLoro), (referred to here as the PROVIDER or eMandarin Ventures Inc. (PayLoro), and you, the CLIENT and/or MERCHANT.
II. By downloading, installing, or using any part of the eMandarin Ventures Inc. (PayLoro), Services or software (referred to as the PayLoro Service or SERVICE), the CLIENT and/or MERCHANT agrees to fully accept and be bound by these GENERAL TERMS. If the CLIENT and/or MERCHANT does not agree to these GENERAL TERMS, they may not use or distribute the SERVICE.
III. The CLIENT and/or MERCHANT accepts these GENERAL TERMS on behalf of the company or legal entity they represent (such as an employer or contractor) or, if no entity is involved, for themselves as an individual. By accepting these GENERAL TERMS, the CLIENT and/or MERCHANT confirms and warrants that:
a) They have the necessary authority to agree to and fulfill the obligations outlined in these GENERAL TERMS;
b) They have obtained all required licenses, approvals, and permissions to meet their obligations under these GENERAL TERMS, as mandated by applicable laws and regulations, except in cases where any missing permissions are minor and do not affect the overall execution of these obligations;
c) Their acceptance and performance of these GENERAL TERMS have been properly authorized, where required, by their organization;
d) Their agreement to and actions under these GENERAL TERMS do not violate any judgment, order, or agreement binding their company or assets, nor do they create a default under any contract.
IV. Note – any other agreements made between the CLIENT and/or MERCHANT and EMandarin Ventures Inc. (PayLoro), may refer to these GENERAL TERMS by a different name, which does not affect their validity or enforceability.
1. DEFINITIONS
The terms below, whether used in the singular or plural form, are defined as follows:
1.1. GENERAL TERMS or TERMS – These general terms of use, including any attachments and additional agreements, along with any licensing terms related to the use or distribution of the PayLoro SERVICE.
1.2. CLIENT – The customer or end-user of the MERCHANT, who uses the MERCHANT’s website or other software, tools, or channels provided or approved by eMandarin Ventures Inc. PayLoro for transactions.
1.3. eMandarin Ventures Inc. PayLoro or SERVICE PROVIDER – The company registered in the Philippines as eMandarin Ventures Inc. (PayLoro), which operates the PayLoro Service.
1.4. PayLoro Service or Service – The Services and software provided by eMandarin Ventures Inc. PayLoro that allow clients to make payments or receive funds through various channels.
1.5. MERCHANT – An individual or entity that is authorized to distribute the PayLoro SERVICE to CLIENTS.
1.6. CLIENT – Any individual or entity granted access to the SERVICE.
1.7. BUSINESS DAY – Any day that is not a Saturday, Sunday, or recognized public holiday in the Philippines, as well as any day did not declare a holiday by the Bankers Association of the Philippines or another similar authority.
1.8. PAYMENT TRANSACTIONS or TRANSACTIONS – Any valid payment, payout, or settlement between the CLIENT and MERCHANT, conducted partially or fully through electronic channels, and processed by the SERVICE. Transactions may be:
a) Made over electronic systems such as the Internet, software, mobile apps, or other networked systems;
b) Authorized payments, payouts, or settlements between the MERCHANT and CLIENT, approved and certified by eMandarin Ventures Inc. PayLoro;
c) Payments made by the CLIENT without using an electronic system, such as by presenting a credit or debit card, or using another compatible method.
1.9. BANK – The institution managing the banking system or card network that issues or operates accounts compatible with the SERVICE and PAYMENT TRANSACTIONS.
2. GENERAL PROVISIONS, EFFECTIVE DATE
2.1. eMandarin Ventures Inc. PayLoro is a corporation authorized to conduct business related to providing SERVICES for TRANSACTIONS, including partnering with MERCHANTS to accept payments through various methods and systems.
2.2. MERCHANTS and BANKS have agreements with eMandarin Ventures Inc. PayLoro to process payments and TRANSACTIONS through approved means, under the terms set forth below.
2.3. CLIENT and/or MERCHANT acknowledge that the copyrights, trademarks, designs, and other intellectual property within the SERVICE belong exclusively to eMandarin Ventures Inc. PayLoro and/or its affiliates, licensors, or other third parties.
2.4. These GENERAL TERMS become effective when the CLIENT and/or MERCHANT agrees to them or begins using the SERVICE and will remain in effect until terminated by eMandarin Ventures Inc. PayLoro or the CLIENT and/or MERCHANT. Certain provisions may remain in effect after termination as specified in these GENERAL TERMS or under applicable laws and regulations.
3. TERMS OF SERVICE FOR PayLoro
3.1. eMandarin Ventures Inc. PayLoro is not obligated to process any specific TRANSACTION. By requesting eMandarin Ventures Inc. PayLoro to process a TRANSACTION, the CLIENT and/or MERCHANT consents to eMandarin Ventures Inc. PayLoro making the decision to approve or deny the TRANSACTION at its discretion. If the TRANSACTION is accepted, this does not waive eMandarin Ventures Inc. PayLoro's right to later suspend or cancel the TRANSACTION.
3.2. eMandarin Ventures Inc. PayLoro reserves the right to modify, suspend, or terminate any part of the SERVICE at any time, particularly when required by Philippine law or regulations.
3.3. The CLIENT and/or MERCHANT must not attempt to interfere with the proper operation of the SERVICE. eMandarin Ventures Inc. PayLoro has the right to audit and verify all activities performed using the SERVICE.
3.4. eMandarin Ventures Inc. PayLoro makes no guarantees regarding TRANSACTION times or completion. While efforts are made to process TRANSACTIONS in a timely manner, they may be delayed or canceled for various reasons, including issues with verifying CLIENT or MERCHANT information.
3.5. In addition to the terms outlined in this section, eMandarin Ventures Inc. PayLoro reserves the right to refuse or cancel any TRANSACTION if:
a) The identity of the parties cannot be verified;
b) The CLIENT and/or MERCHANT fails to provide required information;
c) eMandarin Ventures Inc. PayLoro suspects misuse of the SERVICE.
